Tools4Trade Ltd – Terms & Conditions of Sale
1. Definitions
In these Terms & Conditions, “We”, “Us”, and “Our” refer to Tools4trade Ltd (Company No. 05100364) trading as Tools4trade.
“You” and “your” refer to the customer placing an order with us.
2. Formation of Contract
We reserve the right to refuse any order. A contract is formed only when we accept your order. All orders are accepted subject to these Terms & Conditions.
3. Delivery
We aim to deliver goods as soon as reasonably practicable. If you do not receive your goods within one week of placing your order—or within one week of any estimated delivery date we provide—you must notify us as soon as possible.
All delivery dates are estimates only. If we cannot deliver your goods within 30 days, you may cancel your order and receive a full refund for those goods.
4. Inspection of Goods
You must inspect the goods promptly upon receipt and notify us of any issues within 10 days. If the item has been damaged, you must notify us within 48hours. Where possible, please retain all packaging until you are satisfied with the goods.
Responsibility for the goods passes to you once delivery has taken place. Nothing in this clause affects your statutory rights.
5. Payment Terms
Payment must be made in full before dispatch unless otherwise agreed in writing.
If you hold a credit account with us, we may (at our discretion) allow payment within 30 days of the invoice date.
Delivery charges and accepted payment methods are detailed in our sales documentation.
Overdue payments will accrue interest at 2% per annum above the HSBC Bank plc base rate, from the due date until payment is received.
6. Retention of Title
All goods remain our property until paid for in full, including delivery charges. If you resell the goods before payment is made, you agree to hold the proceeds of that sale on trust for us until full payment has been received.
7. Pricing & Product Information
We take care to ensure prices and descriptions are accurate at the time of publication. If an error occurs, or if a manufacturer changes pricing or product details, we will notify you as soon as possible.
You may then
● cancel your order
● or reconfirm your order at the revised price or specification.
We are not obliged to supply goods at an incorrect (lower) price where the error is obvious and could reasonably have been recognised as a mistake.
8. Product Information & Safety
Information and advice in our documentation is for general guidance only. You are responsible for determining suitability for your specific requirements.
You must read and follow all manuals, safety instructions, and warnings supplied with the goods.
9. Cancellation Rights (Consumers)
If you are a consumer, you may cancel your order at any time before delivery, or within 14 days of receiving the goods, in accordance with the Consumer Contracts Regulations. To cancel, you must notify us in writing using the contact details provided in clause 1.
If you have already received the goods:
● Goods must be returned in re-saleable condition, with original packaging where possible.
● You must return the goods at your own cost unless we are at fault.
● You must take reasonable care to ensure the goods are not damaged while in your possession.
● If you fail to return the goods, we may charge you the cost of recovering them.
Exclusions
You cannot cancel orders for:
● audio/video recordings or software once unsealed,
● goods made to your specifications or personalised,
● goods that may deteriorate or expire rapidly,
● goods that cannot be returned due to their nature.
10. Returns & Exchanges
Returns for credit or exchange must follow our published Returns Policy. If there is any conflict between these Terms & Conditions and the Returns Policy, these Terms & Conditions take precedence.
11. Promotional Offers
Promotional offers, discounts, bundle deals, free gifts, cashback promotions and special pricing are subject to availability and may be withdrawn, amended or extended at any time without prior notice. Unless otherwise stated, promotional offers cannot be used in conjunction with any other offer, discount code or promotion. We reserve the right to cancel or refuse any promotional offer where we reasonably believe the offer is being misused or applied incorrectly.
12. Events Beyond Our Control
We are not liable for delays caused by events outside our reasonable control. We are not liable for business losses.
13. Liability
Nothing in these Terms limits our liability for:
● fraudulent misrepresentation,
● negligence causing death or personal injury,
● defective products causing death, personal injury, or damage to private property.
If you are purchasing goods for business use (and are not a consumer under UK law):
● clause 9 does not apply,
● we are not liable for consequential losses,
● subject to clause 12, our maximum liability is limited to the price of the goods.
14. Statutory Rights
Nothing in these Terms affects your statutory rights. Advice on your rights is available from Trading Standards or the Citizens Advice Bureau.
15. International Consumers
If you are a consumer located outside the United Kingdom, clause 5 (payment terms relating to UK consumer law) does not apply. Separate export terms will be provided.
16. Governing Law
These Terms & Conditions are governed by English law, and any disputes will be subject to the jurisdiction of the English courts.
